These Terms of Service ("Terms") govern your use of the website nexusdigital.ca (the "Site") and any development services provided by Nexus Digital LLC ("Nexus Digital", "we", "our", "us"). By using the Site or engaging our services, you agree to these Terms.
Nexus Digital provides custom web and mobile software development, design, and related consulting services. All information on this Site regarding pricing, timelines, and the interactive budget calculator is provided for general estimation purposes only and does not constitute a binding offer. A binding quote is issued only via a signed, written proposal or Statement of Work ("SOW").
Submitting a form on this Site (the top request form, project estimator, or contact form) is a non-binding inquiry. No fees are charged, and no obligation is created, until both parties sign a written SOW setting out final scope, price, and timeline.
Unless otherwise agreed in writing, projects are billed in milestone installments (typically a deposit, a midpoint payment, and a final payment on delivery) as set out in your SOW. Late payments may result in a pause of work until the account is brought current.
Either party may terminate an active engagement with 14 days' written notice. Fees for work already completed and any non-recoverable third-party costs incurred prior to termination are non-refundable; deposits corresponding to work not yet started are refunded within 30 days of termination.
Upon full and final payment for a project, ownership of the custom source code, designs, and related deliverables created specifically for you transfers to you. Nexus Digital retains ownership of its own pre-existing tools, libraries, and know-how used to deliver the work, and may reuse general, non-confidential techniques in future projects. All content on this Site (text, graphics, logos) is the property of Nexus Digital LLC; portfolio items are representative concept case studies used for illustrative purposes.
We treat project details shared with us as confidential and will sign a mutual NDA on request before discussing sensitive information.
Completed work is covered by a 30-day bug-fix warranty from the delivery date, covering defects against the agreed specification. Ongoing maintenance beyond the warranty period is available under a separate support retainer.
To the maximum extent permitted by law, Nexus Digital LLC's total liability arising from any engagement is limited to the amount paid for the specific service giving rise to the claim, and we are not liable for indirect, incidental, or consequential damages.
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles.
We may update these Terms from time to time; material changes will be reflected by updating the "Last updated" date above. Continued use of the Site after changes constitutes acceptance.
